K & L Gates Law Firm Has Over 1800 Attorneys World-Wide

FOR IMMEDIATE RELEASE
(Free-Press-Release.com) January 8, 2010 -- Grayson Hale, a securities attorney, and a partner in the Raleigh law office of K & L Gates, will present a seminar on how a Reg D private offering works. The January 15 event, held at the BNC Center in Cary, N. C. is part of a monthly seminar series called Raising Capital, organized by Susan Hasty of Business Capital Finance.

Hale’s topic will be "The ABC's of Raising Business Capital (both debt and equity) With a “Regulation D Private Placement Offering."

His presentation will include the steps necessary for companies to be prepared to seek out investors including preparation of the Private Placement Memorandum and Subscription documentation, SEC Form D filing preparation, what terms need to be decided up front and the difference between VC funding and a “self underwriting.”

“We are grateful to have an attorney with such extensive experience in the world of venture and angel capital markets make this presentation,” said Hasty. “We created this monthly forum to help companies become more successful in learning about and locating commercial capital to fund growth. Part of the strategy is to connect companies to professional service providers, like Grayson Hale,” she added.

Hale has extensive expertise in representing engineering, architecture and related professional firms and trade industries in mergers and acquisitions and other business transactions. He is also a CPA. (inactive)

In addition to Hale’s presentation, Thomas Vass, registered investment advisor, commercial insurance broker, and publisher of The Technology Stock Advisor, will address the topic of how a direct corporate private offering differs from the traditional venture capital business model.

“I hope we have a lot of time for business owners to ask questions and discuss how the direct corporate private offering, also known as a self-underwriting, can work,” said Vass, the owner of Investment Management & Insurance Advisors, Inc, a registered investment advisory corporation.

The February Raising Capital seminar will feature a presentation about an entirely new market mechanism for a commercial business finance called the Receivables Xchange. The Receivables Exchange makes it fast, easy and efficient for small and medium-sized businesses to gain quick access to working capital at a competitive cost, because time and money are a luxury that most small and medium-sized business owners don't have.

The monthly event is held at BNC Center, 649 Walnut Street, in Cary, N.C. It begins at 11:30 with a light lunch and 30 minutes of business networking. There is a $20 cover charge at the door to attend.

The RAISING CAPITAL MEETUP GROUP: Please join us every second Friday of the month for our lunch meeting, which is open to the public and features a leader in the financial community that presents timely information about raising business capital. Our lunch meetings begin approximately at 11:30 a.m. and provide 30 minutes of networking time to our attendees. For more information
