According to the complaint the plaintiff alleges that Hansen Medical and certain of Hansen Medical`s executive officers violated federal securities laws by knowing or recklessly disregarding that their public statements concerning Hansen Medical `s business, operations and prospects were materially false and misleading. On October 19, 2009, Hansen Medical announced that the audit committee of Hansen Medical `s board of directors, upon the recommendation of management, concluded that the Company`s previously issued financial statements contained in its annual report on Form 10-K for the year ended December 31, 2008, and the Company`s quarterly reports on Form 10-Q for the quarters ended March 31, 2008, June 30, 2008, September 30, 2008, March 31, 2009 and June 30, 2009, should no longer be relied upon because of errors arising from "potential irregularities outside of the accounting department."
