Ultimate Jukebox, a digital jukebox company, and NetMusic Corporation, a digital music download service, have merged. The combined company will focus on ubiquitous delivery of digital music content.

SEATTLE, WA, September 30, 2004 - Ultimate Jukebox, Inc (Pink Sheets: ULJK) and NetMusic Corporation (www.netmusic.com) today announced that they have finalized a merger agreement. The combined company will focus on the digital distribution of music content via a network of internationalized websites and digital jukeboxes.

The company will maintain its corporate headquarters in New Jersey, with a satellite office in Seattle.
